These Terms of Service (“Terms”) govern your access to and use of the Elyon Premium website at elyonpremium.com and any services we provide (“Services”). By using our website or engaging us for work, you agree to these Terms. If you do not agree, please do not use the site.

Elyon Premium (“we”, “us”, or “our”) is a digital agency that designs and builds websites and online stores.

You may use our website for lawful purposes only. You agree not to:

• Use the site in any way that breaches applicable laws or regulations.
• Attempt to gain unauthorized access to the site, its servers, or related systems.
• Interfere with or disrupt the site, or introduce malicious code.
• Scrape, copy, or republish our content without permission, except as allowed below.

Pricing shown on our website (including any “starting from” figures) is indicative and does not constitute a binding offer. Project pricing is confirmed in a written quote or proposal based on your specific scope.

A project begins once we have agreed scope, timeline, and price in writing, and any required deposit has been received. The agreed proposal, together with these Terms, forms the contract between us. Where they conflict, the signed proposal controls.

Unless your proposal states otherwise, projects are invoiced as a deposit to begin work and a balance due at or before launch, with milestone payments for larger builds. Recurring care or maintenance plans are billed in advance for each period.

Invoices are payable by the due date stated. Late or unpaid invoices may result in work being paused and, for hosted or maintained sites, suspension of service until the account is brought current.

To deliver your project on time, we rely on you to:

• Provide content, assets, access, and feedback in a timely manner.
• Ensure you have the rights to any materials (text, images, logos, fonts) you supply to us.
• Review deliverables and respond within the timelines we agree.

Delays in providing what we need may affect the project timeline and cost.

Upon full payment of all amounts due for a project, ownership of the final deliverables we create specifically for you transfers to you, except for third-party components and our own pre-existing tools.

We retain ownership of our underlying know-how, frameworks, libraries, and any reusable components, and grant you a license to use them as part of your deliverables. Third-party assets (such as plugins, themes, fonts, or stock media) remain subject to their own licenses.

Unless you ask us in writing not to, we may showcase the work we produce for you in our portfolio and marketing.

Our work often relies on third-party platforms and services (for example hosting providers, Shopify, WooCommerce, payment processors, and analytics). Your use of those platforms is governed by their own terms, and we are not responsible for their availability, changes, or fees.

We provide our Services with reasonable skill and care. Other than as expressly stated, our website and Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose.

We do not warrant that the website will be uninterrupted, error-free, or free of harmful components, or that any particular business result (such as traffic, rankings, or revenue) will be achieved.

To the maximum extent permitted by law, Elyon Premium will not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of the site or our Services.

Our total aggregate liability for any claim relating to a project will not exceed the total fees you paid to us for that project. Nothing in these Terms limits liability that cannot be limited by law.

You agree to indemnify and hold Elyon Premium harmless from any claims, damages, or expenses arising from materials you provide to us, your use of the deliverables, or your breach of these Terms.

Either party may end an engagement as set out in the relevant proposal. If a project is cancelled, you remain responsible for fees for work completed up to the cancellation date. We may suspend or terminate access to the website or Services if these Terms are breached.

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law principles. The courts of that jurisdiction will have exclusive jurisdiction over any disputes, unless your signed proposal specifies otherwise.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the website after changes take effect means you accept the updated Terms.
